Our consulting services are provided pursuant to separate written agreements ("Statements of Work" or "SOWs"). Each SOW will specify the scope of work, deliverables, timeline, fees, and other relevant terms specific to that engagement.
We will perform all consulting services in a professional and workmanlike manner consistent with industry standards. However, we make no guarantees regarding specific results or outcomes unless expressly stated in a SOW.
Clients agree to provide timely access to information, systems, and personnel necessary for us to perform our services. Delays caused by lack of client cooperation may result in adjusted timelines and additional fees.
All content on our website, including text, graphics, logos, images, software, and other materials, is the property of maas technologies llc or its licensors and is protected by copyright, trademark, and other intellectual property laws.
Clients retain all rights to their pre-existing intellectual property. Any intellectual property created specifically for a client as part of a consulting engagement will be addressed in the applicable SOW.
Unless otherwise specified in a SOW, upon full payment of all fees, clients will receive ownership of custom deliverables created specifically for them. We retain the right to use general knowledge, methodologies, and techniques developed during our engagements.
Any products, software, or tools we develop and offer are licensed, not sold. Specific terms for each product will be provided separately and may include additional license agreements, acceptable use policies, and service level agreements.
Fees for our services will be specified in applicable SOWs or product agreements. All fees are in U.S. dollars unless otherwise stated.
Payment terms will be specified in each SOW. Late payments may incur interest charges of 1.5% per month or the maximum rate permitted by law, whichever is lower.
Unless otherwise agreed, clients are responsible for reimbursing reasonable, pre-approved expenses incurred in connection with services.
Both parties agree to maintain the confidentiality of any non-public information disclosed during the course of our relationship. This obligation survives termination of services. Confidentiality obligations will be further detailed in applicable SOWs or separate non-disclosure agreements.
We warrant that our services will be performed in a professional manner consistent with industry standards. This warranty is limited to a period of 30 days from delivery of services or as otherwise specified in a SOW.
EXCEPT AS EXPRESSLY PROVIDED IN THESE TERMS OR A SOW, OUR SERVICES AND WEBSITE ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL MAAS TECHNOLOGIES LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR OUR SERVICES SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US IN THE 12 MONTHS PRECEDING THE CLAIM, OR $1,000, WHICHEVER IS GREATER.
You agree to indemnify, defend, and hold harmless maas technologies llc and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses arising out of or related to: (a) your use of our services; (b) your violation of these Terms; (c) your violation of any rights of another; or (d) your negligence or willful misconduct.
We may terminate or suspend your access to our services immediately, without prior notice, for any reason, including if you breach these Terms. Upon termination, your right to use our services will cease immediately. Provisions that by their nature should survive termination will survive, including confidentiality, intellectual property, warranty disclaimers, and limitations of liability.
These Terms are governed by and construed in accordance with the laws of the United States and the state in which maas technologies llc is registered, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or our services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association. The arbitration shall take place in the United States, and judgment on the arbitration award may be entered in any court having jurisdiction.
Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information.
These Terms, together with any applicable SOWs and our Privacy Policy, constitute the entire agreement between you and maas technologies llc regarding our services and supersede all prior agreements and understandings.
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue in full force and effect.
Our failure to enforce any right or provision of these Terms will not be deemed a waiver of such right or provision.
You may not assign or transfer these Terms or any rights granted hereunder without our prior written consent. We may assign these Terms without restriction.
Neither party shall be liable for any failure or delay in performance due to causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
